General terms of use

Onelia platform (DCNG SRL), version 4 of 8 October 2026

Article 1. Definitions and scope

1.1. These general terms of use govern the use of the mobile application and the web portal published by DCNG SRL, a limited liability company incorporated under Belgian law, with its registered office at Avenue de l’Abbaye d’Aywiers 25, 1410 Waterloo, registered with the Crossroads Bank for Enterprises under enterprise number 0780.406.273 (hereinafter referred to as “DCNG” or “the Publisher”), under the trade name “Onelia” (hereinafter referred to as the “Service”).

1.2. For the purposes of these terms, “Service” or “Onelia” means the software solution provided in software as a service mode published by DCNG, comprising a mobile application for iOS and Android systems, a back office web portal and all the features associated with the management of the Client’s customers, jobs, sites, quotations, invoices, stock, calendar and teams, as well as electronic invoicing through the Peppol network. “Account” means the named space opened in the name of a specific natural person and giving access to the features subscribed to by the Client. “Client” means the natural or legal person acting for professional purposes who has opened a Client Workspace in the Service, during the trial period or under a subscription. “Client Workspace” means the environment opened in the Client’s name within the Service, which brings together all the Client Content as well as the Accounts of its Users. “User” means any natural person authorised by the Client to access the Service by means of login credentials of his or her own. “Client Content” means all data, information, documents, images, files and settings entered or uploaded by the Client or its Users into the Service.

1.3. These general terms of use apply to every User, from the creation of his or her Account and throughout the period of his or her access to the Service. They supplement the general terms and conditions of sale concluded between DCNG and the Client, without replacing them. In the event of any contradiction, the general terms and conditions of sale prevail in the relationship between DCNG and the Client, whereas these general terms of use govern the relationship between DCNG and the User.

1.4. These general terms of use are accepted by one of two routes. The natural person who registers the Client and opens the Client Workspace accepts them at the time of that registration, together with the general terms and conditions of sale and the data processing agreement, by means of a separate tick box provided for that purpose; that person becomes the administrator of the Client Workspace and is its first User. The other Users accept them when they respond to the invitation sent to them, by means of a separate tick box provided for that purpose in the Account activation process. In both cases, DCNG retains, as evidence, the User’s identifier, the version of the terms accepted and the date and time of that acceptance. The privacy policy, which constitutes information provided under Articles 13 and 14 of the General Data Protection Regulation, is brought to the User’s attention by a link appearing immediately below that box; it is not subject to acceptance.

1.5. DCNG reserves the right to amend these general terms of use. Amendments are communicated to the User at least thirty (30) calendar days before they take effect, by publication in the Service and by notification to the email address associated with the Account. They apply from the date on which they take effect. A User who does not accept the amendments may stop using the Service and request the closure of his or her Account from the administrator appointed by the Client.

Article 2. Creation and management of the Account

2.1. Access to the Service requires an Account to be created beforehand. The first User’s Account is opened when the Client registers, by the person who carries out that registration and who becomes the administrator of the Client Workspace. Subsequent Accounts are opened by that administrator, or directly by the User on the basis of an invitation sent by the Client. Creation of the Account requires a valid email address to be provided and a password to be set that complies with the complexity rules imposed by the Service.

2.2. The User undertakes to provide accurate, complete and up to date information when creating the Account and to keep that information up to date throughout the period of use. The User is solely responsible for the accuracy of the information he or she provides.

Named nature of the Account

2.3. An Account corresponds to a single natural person. It is a named Account and may not be shared. The User must not disclose his or her login credentials to a third party, make them available to another person, even a member of the Client’s organisation, or allow another person to access the Service by means of his or her Account. Where a person leaves the Client’s organisation or changes duties, his or her Account is closed or reassigned by the administrator, and is not passed on as it stands.

2.4. The same natural person may, on the other hand, connect simultaneously from several devices belonging to him or her or made available to him or her, in particular a telephone, a tablet and the web portal. The number of devices is not limited; only the use of the same Account by several persons is prohibited.

2.5. In order to ensure that the named nature of Accounts is observed and that invoicing is accurate, DCNG carries out, for each Account, a technical count of the hours during which several connections of the mobile application are active at the same time. That count relates to technical data and gives rise to no analysis of the substance of Client Content. Its arrangements and its retention period are described in the privacy policy. Where the sharing of login credentials is established, it gives rise to the adjustment provided for by the general terms and conditions of sale and, in the event of a serious or repeated breach, to the measures provided for in Article 8 of these terms.

Security of login credentials

2.6. Login credentials are strictly personal and confidential. The User is solely responsible for keeping them, for their confidentiality and for their use. Any action carried out from his or her Account is deemed to have been performed by him or her, unless proof to the contrary is provided.

2.7. The Service allows the User to subscribe his or her personal or professional calendar, in particular Google Calendar, Outlook or Apple Calendar, to the schedule he or she keeps in Onelia, by means of a subscription link containing a secret. That link gives access, to any person holding it and without prior authentication, to the User’s appointments, including the identity of the Client’s customers, the addresses at which jobs are carried out and the descriptions entered. That link is strictly personal, may not be disclosed to a third party or published, and may be revoked at any time by the User from within the Service. A User who activates this feature discloses that data to the calendar provider he or she has chosen; it is for that User to ensure, together with the Client, that such disclosure complies with the Client’s instructions.

2.8. The User may activate the two factor authentication offered by the Service. Activation is optional; once activated by the User, two factor authentication is requested at each login. DCNG recommends that it be activated, in particular for Users holding administration rights.

2.9. The User informs DCNG without delay, through the support channels provided, of any loss, theft, disclosure, fraudulent use or risk of unauthorised use of his or her login credentials, calendar subscription link or Account, and immediately takes the appropriate steps to limit the effects thereof, in particular by changing his or her password and revoking the link concerned.

2.10. The access rights and technical capabilities associated with the Account are configured by the administrator appointed by the Client, in accordance with the structure of roles and capabilities made available by the Service. The User acknowledges that the management of those rights is the responsibility of the Client and not of DCNG.

Article 3. Rules governing use of the Service

3.1. The User undertakes to use the Service in accordance with its intended purpose, with these general terms of use, with the technical instructions communicated by DCNG and with all applicable statutory and regulatory provisions, in particular those relating to the protection of personal data, to intellectual property, to accounting, to electronic invoicing and to combating fraud.

3.2. The User must not interfere with the integrity, availability, security or proper functioning of the Service, or with the rights of other users and of third parties. The following actions are prohibited in particular, without this list being exhaustive: attempting to gain unauthorised access to a third party account, to data to which the User is not entitled or to technical components reserved to DCNG; circumventing or attempting to circumvent technical protection measures; introducing into the Service any malicious code, virus, Trojan horse or equivalent device; carrying out any form of reverse engineering, decompilation, disassembly, substantial extraction or repeated re-utilisation of the Service or of any component thereof; using the Service to develop a competing service; carrying out security or intrusion testing without the prior written authorisation of DCNG.

3.3. The User must not introduce into the Service any content that is unlawful, defamatory, insulting or discriminatory, that is contrary to public policy or public morality, or that infringes the rights of third parties, in particular intellectual property rights, personality rights or rights relating to the protection of personal data.

3.4. The User must not use the Service for the purposes of competitive intelligence, benchmarking, reproduction of the Service or development of a similar or competing service, or for any unauthorised automated activity, such as scraping or bulk data extraction.

Article 4. Content and data entered by the User

4.1. The User is solely responsible for the content, data, documents, photographs, handwritten signatures, information and settings that he or she enters into the Service, and for their lawfulness, accuracy and updating. The User warrants that he or she holds all the rights, authorisations and legal bases required in order to enter, process and disseminate such content in the Service.

4.2. The User acknowledges that the content he or she enters belongs to the Client, as controller of the personal data that such content may contain. All internal rules laid down by the Client, in particular as regards retention periods, access rights, deletion procedures and additional security measures, are binding on the User.

4.3. The User undertakes not to enter into the Service any data going beyond the purposes and categories provided for by the Client’s settings, in particular data falling within the special categories within the meaning of Article 9 of the General Data Protection Regulation or data relating to criminal convictions and offences within the meaning of Article 10 thereof, save with the express authorisation of the Client and subject to compliance with the applicable rules.

Article 5. Intellectual property

5.1. DCNG remains the exclusive holder of all intellectual property rights and related rights in the Service, including its source code and object code, its architecture, its interfaces, its databases, its algorithms, its documentation and its visual identity guidelines, as well as in the “Onelia” trade mark, the associated domain name and all the elements making up its visual identity.

5.2. DCNG grants the User, during the trial period and for the term of the contract concluded between DCNG and the Client, a right to use the Service that is personal, non exclusive, non transferable and non assignable, for the sole purposes of carrying out the duties entrusted by the Client. That right entails no transfer of ownership and no right in the source code of the Service.

5.3. Any unauthorised reproduction, communication to the public, adaptation, modification, dissemination or exploitation of the Service, in whole or in part, constitutes an infringement of intellectual property rights within the meaning of Book XI of the Code of Economic Law and exposes the person responsible to the civil and criminal penalties laid down by law.

5.4. The User may send DCNG suggestions, proposals for improvement and feedback relating to the Service. DCNG is free to use, implement and exploit them, as well as the developments they inspire, without consideration, without limitation as to time or territory and without any obligation of attribution. The developments resulting from them belong to DCNG. In so far as copyright subsists in the form of a suggestion, the User grants DCNG, in that form alone and for the purposes of the Service, a non exclusive, royalty free, worldwide licence granted for the term of protection. This provision does not cover the content that the User enters into the Service on behalf of the Client, which remains governed by Article 4.

Article 6. Availability and development of the Service

6.1. DCNG endeavours to ensure the availability of the Service under an obligation of means. The User acknowledges that the Service may be subject to scheduled interruptions, in particular for maintenance or development operations, and to unscheduled interruptions linked to technical incidents or to the failure of third party components.

6.2. DCNG may develop the Service at any time, by adding, modifying or removing features. The User acknowledges that such developments are a normal feature of an online service and that they confer no particular right upon him or her.

6.3. The User is solely responsible for the configuration, maintenance and security of the hardware and software he or she uses to access the Service, and for the quality of his or her connection to electronic communications networks.

Article 7. Liability

7.1. The User is solely responsible for the use he or she makes of the Service, for the actions he or she performs in it and for the consequences that may result, both towards the Client and towards DCNG and any third party. The User is in particular responsible for the accuracy of the data he or she enters and for compliance with the rules applicable to his or her professional activity.

7.2. DCNG assumes no liability in respect of the relationship between the User and the Client, in particular in respect of the instructions and directions given by the Client to the User, of the authorisations granted or withdrawn by the Client, or in respect of the content of the documents drawn up in the Service by the User on behalf of the Client.

7.3. The User indemnifies DCNG against any claim, action or demand based on a breach by the User of these general terms of use or of the applicable regulations.

Article 8. Suspension and termination

8.1. DCNG may suspend or terminate a User’s access to the Service at any time and by operation of law in the event of a serious or repeated breach of these general terms of use, in particular in the event of the sharing of login credentials or the circulation of a calendar subscription link, in the event of conduct calling into question the security of the Service or the rights of other users, or where the administrator of the Client Workspace so requests. DCNG informs the Client of any measure taken in respect of one of its Users.

8.2. The User’s access to the Service ends in any event by operation of law upon termination or expiry of the contract concluded between DCNG and the Client, or where the Client withdraws from the User the access rights previously granted to him or her.

8.3. The cessation of the User’s access confers no particular right upon him or her, in particular as regards compensation. The User remains bound by the obligations arising before that cessation, in particular the obligations of confidentiality and of respect for intellectual property rights.

Article 9. Protection of personal data

9.1. DCNG processes personal data concerning the User. Those processing operations, their purposes, their legal bases, their recipients, their retention periods and the User’s rights are described in the privacy policy, available on the Onelia website and accessible from the application and the web portal.

9.2. The data that the User enters on behalf of the Client is processed by DCNG as processor, on behalf of the Client, under the conditions laid down in the data processing agreement annexed to the general terms and conditions of sale. A User wishing to exercise his or her rights in relation to that data applies to the Client.

Article 10. Miscellaneous provisions

10.1. The nullity, illegality or unenforceability of a term or part of a term of these general terms of use does not affect the validity of the remaining terms, which retain their full effect. The parties undertake to replace the invalid term with a valid provision the effects of which are as close as possible to those of the invalidated term.

10.2. The fact that DCNG does not rely at a given time on a provision of these terms may under no circumstances be construed as a waiver of the right to rely on it subsequently.

10.3. Any communication between DCNG and the User may validly be made by email to the address associated with the Account or by notification within the Service, with the same force as written correspondence, unless the law provides otherwise.

10.4. These general terms of use are drawn up in French and published in French, Dutch and English. In the event of any divergence between those versions, the French version prevails.

Article 11. Applicable law and competent courts

11.1. These general terms of use are governed exclusively by Belgian law.

11.2. Any dispute relating to their interpretation, performance or validity falls within the exclusive jurisdiction of the courts and tribunals of the judicial district of Walloon Brabant.
